1. Agreement to Terms
By accessing or using the Eco-Credit software, dashboard, platform, or integrated Mews PMS service extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using or accessing our software services.
2. Description of Service
Eco-Credit operates a sustainable hospitality orchestration platform. Our SaaS service syncs directly with Mews Property Management Systems (PMS) to track housekeeping statuses (skips, cancellations) and automatically assign loyalty credits, local vouchers, or invoice adjustments back to the respective guest's checkout folio based on hotel-defined rules.
3. Registration & Account Security
To utilize the Eco-Credit dashboard, hotels must register an administrative account:
- You agree to provide true, accurate, and current information during onboarding.
- You are entirely responsible for maintaining the confidentiality of your administrative credentials and all actions taken under your account.
- You must safeguard your Mews API credentials and sandbox access keys. Any suspected breach of API safety must be reported to us immediately.
4. Credit Calculations & Ledger Limits
Eco-Credit functions as a rules-based calculation engine. While our system automates the processing and tracking of environmental resources (laundry cycles, water, energy savings) and transmits corresponding ledger updates to Mews:
- Partner hotels retain absolute control over final financial distributions, guest credits, or vouchers issued.
- Eco-Credit is not liable for incorrect room assignments, staff database entries in the Mews dashboard, or manual alterations of folios by hotel front-desk staff.
- Voucher redemptions, local business partnerships, and physical reward inventory are the sole responsibility of the partner hotel.
5. Intellectual Property Rights
The platform, including all original code, database architecture, design systems, logos, illustrations, dashboard components, and text copy, is the exclusive intellectual property of Eco-Credit Technologies NL. You are granted a limited, non-transferable, revocable license to access our platform solely for your internal hotel operations during the term of your active subscription.
6. Third-Party Integrations & Uptime
Our core service relies on continuous cloud connectivity and the third-party Mews PMS API. While we maintain a 99.9% platform availability goal, Eco-Credit is not responsible for outages, performance slowdowns, or data discrepancies caused directly by Mews service interruptions, DNS failures, or wider cloud hosting provider (AWS, Supabase) service outages.
7. Fees and Billing
All billing terms, revenue-sharing agreements, dashboard license fees, and custom enterprise setups are governed strictly by the dedicated Service Level Agreement (SLA) executed during onboarding. Overdue balances may result in temporary suspension of the Eco-Credit Mews API hook processing.
8. Indemnification & Limitation of Liability
To the maximum extent permitted by applicable law, Eco-Credit Technologies NL shall not be held liable for any indirect, incidental, special, exemplary, or consequential damages arising out of the use or inability to use the platform. In no event shall our total liability exceed the amounts paid to us by your hotel in the three (3) months preceding the incident.
9. Governing Law & Dispute Resolution
These Terms shall be governed, construed, and enforced in accordance with the laws of the Netherlands. Any legal action or dispute arising directly out of these terms shall be settled exclusively before the competent courts of Amsterdam, Netherlands.
